12. Employment Agreements

This chapter provides the reader with a detailed and expert presentation
of the executive employment agreements commonly in use
today. The authors begin by describing the different kinds of
agreements that exist and the pros and cons of their use. The reader
is then provided with a tour—clause by clause, element by element—
of what might be contained in a typical agreement and their
respective effect; from the initial recitals to the description of
various forms of compensation and benefits, to the specifics of how
various forms of termination will be handled should such a
termination arise and, lastly, to other restrictive covenants that
